Keylingo, L.L.C. and Keylingo Franco, LLC provide the Keylingo Translations websites and blogs to convey information to clients and prospective clients about Keylingo Translations’ translation and interpretation services and about the topics of translation and interpretation in general. This Keylingo Translations Website and Blog Policy (this “Policy“) sets forth the terms and conditions applicable to persons or entities who visit or view a Keylingo Translations website or blog (each a “User“). Article I provides some general terms, Article II addresses security and privacy, Article III addresses use of blogs, and Article IV advises Users how to provide feedback.
I. GENERAL
1. All design, text, graphics and the selection and arrangement thereof on or associated with the Keylingo Translations websites and blogs are the copyrighted works of Keylingo, L.L.C. and/or Keylingo Franco, LLC. The Keylingo word, design and slogan marks are service marks owned by Keylingo, L.L.C., which are licensed to Keylingo Franco, LLC and its Managing Directors doing business as Keylingo Translations.
2. A User may copy, print or reproduce content from a Keylingo Translations website or blog solely for purposes of doing business with Keylingo, L.L.C. or a Managing Director or for other personal, non-commercial purposes. A User may not otherwise copy, print, reproduce, display, distribute, modify or publish any content from a Keylingo Translations website or blog, without the prior written consent of Keylingo, L.L.C. or Keylingo Franco, LLC in each instance.
3. The Keylingo Translations websites and blogs may contain various links to other web sites or content. User agrees that Keylingo, L.L.C. and Keylingo Franco, LLC and its Managing Directors (collectively, the “Keylingo Parties“) are not responsible for the availability of these outside resources or their content (and User will direct any concerns regarding any external link to the owners or administrators thereof).
4. Use of the Keylingo Translations’ websites and blogs is at User’s sole risk and is subject to the terms of this Policy. The Keylingo Translations websites and blogs are provided “as is” and “as available”, without warranties of any kind, express or implied. Neither Keylingo, L.L.C. nor Keylingo Franco, LLC makes any representations or warranties that any Keylingo Translations website or blog is or will remain uninterrupted or error-free, that defects will be corrected or that the websites or blogs or the servers used in connection therewith are or will remain free from any viruses, worms, trojan horses or other harmful components.
5. The entire collective liability of the Keylingo Parties, and a User’s exclusive remedy with respect to use of a Keylingo Translations website or blog, shall be User’s right to discontinue use of the website or blog. None of the Keylingo Parties shall ever be liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages arising from use of a Keylingo Translations website or blog.
6. None of the Keylingo Parties warrants or guarantees any service offered through a Keylingo Translations website or blog.
II. SECURITY AND PRIVACY.
1. The Keylingo Parties respect and are committed to protecting the privacy of Users. However, to use or participate in many features of the Keylingo Translations’ websites or blogs, Users may have to provide certain specific information, such as name, mailing address, telephone number, e-mail address and/or other information specific to the User. A User is not obligated to provide any of this information, but if a User declines, the User may be unable to use or participate in those features.
2. The Keylingo Parties will not knowingly or intentionally collect personally identifiable information about a child. We comply with the Children’s Online Privacy Protection Act.
3. The Keylingo Parties will not sell, distribute or transfer any of your personally identifiable information that you provide to us, except as described in this Policy. Users, however, are ultimately responsible for protecting their information from disclosure to third parties.
4. The Keylingo Parties use information collected on Keylingo Translations websites and blogs for the following primary purposes:
(a) to improve the Keylingo Translations websites and blogs by analyzing and/or determining which of our areas, features and services are of most interest to Users;
(b) to occasionally notify Users about changes to the Keylingo Translations websites or blogs or about new services, promotions or other activities that Users might find valuable or useful;
(c) to respond to Users’ inquiries about customer service or franchise opportunities; and
(d) to tailor translation and interpretation services (or proposals therefor) to the perceived needs of Users.
5. Keylingo, L.L.C. and Keylingo Franco, LLC may disclose information as needed to Managing Directors operating under the name Keylingo Translations in order to fulfill one or more of these purposes. Keylingo Parties may also disclose information when required by law, to protect and defend the rights or property of a Keylingo Party or a User, to identify persons or entities who may be violating the law, and/or to cooperate with investigations of allegedly unlawful activities.
III. TERMS AND CONDITIONS APPLICABLE TO USER POSTS
Each User that posts any content to a Keylingo Translations blog, whether in response to a blog posting by a Keylingo Party or to a third party post, agrees that the following terms and conditions shall apply to the User’s posts:
1. By making a post to a Keylingo Translations blog or website, User consents to display of the post or a portion thereof on all Keylingo Translations blogs and websites and for related online and offline promotional purposes.
2. User will not post to a Keylingo Translations blog or website any content that:
(a) is libelous, defamatory, disrespectful, obscene, pornographic, abusive, hateful, repetitive or illegal;
(b) discriminates on the basis of race, religion, nationality, gender, sexual preference, age, region,
disability, etc.;
(c) constitutes a personal attack or violates any personal rights of any person or entity; or
(d) infringes on or plagiarizes any copyright, trademark or other proprietary right or breaches any confidentiality agreement or other contract.
User represents and warrants that (i) none of the content that User posts to any Keylingo Translations blog or website is inconsistent with the foregoing prohibitions, and (ii) User is at least thirteen years old.
3. User will not use a Keylingo Translations blog or website in a commercial manner (precluding for example any post of content that contains any advertising or any solicitation of or for goods, services or funds).
4. User warrants that User owns all rights and interests (including copyright, trademark and other proprietary rights) in and to all content that User posts to any Keylingo Translations website or blog and, without limiting the generality of the statement, that User has procured all author, photographer, model and other releases necessary to make the statement true.
5. While User is solely responsible for the content of any post that User makes to a Keylingo Translations blog or website (it being understood that Keylingo Parties cannot review every post), Keylingo, L.L.C. and Keylingo Franco, LLC reserve the right for any Keylingo Party to delete, move or edit any post for any reason (including breach of these terms and conditions) or no reason.
6. User agrees that any Keylingo Party may be remove, modify, publish, transmit or display any content that User posts to a Keylingo Translations blog or website (whether posted directly or through a third party) and waives any and all rights to the contrary. Without limiting the generality of the previous sentence, a Keylingo Party may republish any and all content in other formats or in other venues.
7. User grants to all Keylingo Parties a perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to all content that User posts to a Keylingo Translations blog or website (whether posted directly or through a third party), which includes without limitation the right for any Keylingo Party or its designees, to use, copy, transmit, excerpt, publish, distribute, display, create derivative works of, host, index, cache, tag, encode, modify and/or adapt ( in any form or media) any such content.
8. User hereby indemnifies and agrees to defend and hold harmless all Keylingo Parties and all of their officers, directors and owners (collectively, the “Indemnified Parties“) from and against any and all liability and costs (including attorneys’ fees and costs) incurred by the Indemnified Parties in connection with any claim arising out of (or alleged to arise out of) any breach by User of this Article III. User shall cooperate as fully as reasonably required in the defense of any such claim. Keylingo, L.L.C. and Keylingo Franco, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to such indemnification.
IV. PROVIDING FEEDBACK
1. Keylingo, L.L.C. and Keylingo Franco, LLC welcomes the submission of comments, information or feedback through a Keylingo Translations website or blog. By submitting information through a Keylingo Translations website or blog, User agrees that the information submitted will be subject to the terms and conditions set forth in this Policy.
2. If a User has additional questions or comments of any kind, wants to know of any material changes to this Policy, or wants to report anything on a Keylingo Translations’ website or blog that may be inappropriate, please notify Keylingo, L.L.C. or Keylingo Franco, LLC by sending your comments or requests to info@keyingo.com.
